“Wholesale investor” is a legal category defined in Schedule 1 of the Financial Markets Conduct Act 2013 (FMCA). It exists because some offers, including the Blossum Wholesale Investment Fund, are made without a retail disclosure document, so the law limits them to investors who can assess the offer on their own or with professional advice. You qualify by meeting any one of five pathways.
Your principal business is investing in financial products, or you act as a financial adviser or broker, trade financial products on behalf of others, or carry on another regulated financial services activity.
You own, or in the last two years have owned, a portfolio of specified financial products of at least NZD $1 million, or you have carried out one or more transactions of at least NZD $1 million in the last two years.
At each of your last two balance dates, your net assets or total turnover exceeded NZD $5 million. This covers companies, trusts and other entities large enough to be treated as wholesale.
You invest a minimum of NZD $750,000 in the offer. Under the FMCA you may be treated as a wholesale investor for that offer, including when you invest over NZD $750,000.
You certify your own investment experience in acquiring or disposing of similar financial products, and a lawyer, accountant or financial adviser confirms your certificate and ensures you understand the risks.

Every loan is secured by first and second registered mortgages over NZ property, with LVR managed to a weighted average cap of 75% across the portfolio.
